SZA Schilling, Zutt & Anschütz advises the majority shareholders of Heidelberg Engineering GmbH on investment by EssilorLuxottica S.A.

SZA Schilling, Zutt & Anschütz, with a team led by Dr. Christoph Nolden, has advised the majority shareholders of Heidelberg Engineering GmbH comprehensively on the transaction. Completion of the transaction is planned for the second half of 2024.

Heidelberg Engineering GmbH gains a new majority shareholder in EssilorLuxottica S.A., the global listed ophthalmic optics group. As part of the transaction, EssilorLuxottica acquires a total of 80% of the shares, partly through the purchase of shares and partly through the subscription of new shares from a capital increase, which will provide additional funds for the development of Heidelberg Engineering GmbH.

Heidelberg Engineering is one of the leading medical technology manufacturers of imaging and data technologies in the field of ophthalmology. Heidelberg Engineering's product portfolio includes confocal microscopy, scanning lasers and optics, optical coherence tomography (OCT), real-time image processing and analysis, multimodal image management solutions (PACS), electronic medical records (EMR) and comprehensive data analysis.

The strategic and long-term integration of Heidelberg Engineering into the EssilorLuxottica Group will bring Heidelberg Engineering's extensive technological and scientific expertise in ophthalmic technology into the Essilor-Luxottica Group and expand its growth and technological innovation leadership in the field of ophthalmic technology.
