SZA Schilling, Zutt & Anschütz advises VIB Vermögen AG in the concluison of a business combination agreement with DIC Asset AG

SZA Schilling, Zutt & Anschütz provided comprehensive legal advice to VIB Vermögen AG in connection with a public tender offer by DIC Group, including on the conclusion of a business combination agreement.

The business combination agreement between VIB Vermögen AG and DIC Group shall lay the foundation for the future cooperation between the two groups of companies. The objective of the agreement is to increase the long-term value of DIC Group and VIB Vermögen AG as well as to improve their competitive position.

The negotiation of the business combination agreement was preceded by a voluntary partial public tender offer from DIC Group, which valued VIB Vermögen AG at around EUR 1.4 billion. In connection with this partial tender offer, DIC Group was able to acquire the majority of shares in VIB Vermögen AG. SZA Schilling, Zutt & Anschütz also provided comprehensive legal advice to VIB Vermögen AG in connection with the partial tender offer.

VIB Vermögen AG develops, buys and holds commercial properties, primarily in the high-growth regions of Southern Germany and with a focus on logistics and light-industrial real estate.
